Nuveen S&P 500 Dynamic Overwrite Fund is registered as a diversified, closed-end management investment company. The Fund's investment objective is to seek total returns with less volatility than the S&P 500 Index. The Fund pursues its investment strategy by investing in an equity portfolio designed to track the return and risk characteristics of the S&P 500 Index and employing a call option overwrite strategy, which consists of writing (selling) index call options, call options on custom baskets of securities, and covered call options on individual securities.
